Terms of Service

1. Agreement

These terms govern your use of vantx.io and the services provided by Vantx Engineering ("Vantx," "we," "us"). By subscribing to a service or using our website, you agree to these terms.

2. Services

Vantx provides managed performance engineering, observability, and fractional SRE/QA services on a subscription basis. Service scope, deliverables, and pricing are as described on the service page at the time of subscription.

3. Subscriptions

• Billing — subscriptions are billed monthly via Stripe. Your first billing cycle starts on the date of purchase.
• Cancellation — you may cancel at any time. Your service continues through the end of the current paid period. No refunds for partial months.
• Pausing — you may pause your subscription. We retain your configuration and context for up to 90 days.
• Price changes — we may adjust pricing with 30 days' notice. Existing subscribers keep their current rate for the remainder of their billing cycle.

4. One-time engagements

One-time services (e.g., Performance Checkup) are paid upfront and delivered within the stated timeline. If we fail to deliver within the agreed timeframe, you may request a full refund.

5. Deliverables and ownership

• Your data — all scripts, dashboards, configurations, reports, and other deliverables we create for you are yours. We use 100% open-source tools (k6, Grafana, OpenTelemetry, Playwright). No vendor lock-in.
• Our methods — our internal processes, templates, and methodologies remain our intellectual property.
• Open-source — deliverables built on open-source tools inherit those tools' licenses. We will never deliver proprietary tooling that creates dependency.

6. Confidentiality

All service engagements begin with a mutual NDA. We treat your systems, architecture, and business data as confidential. We do not use your data in marketing materials without explicit written permission.

7. System access

You control what access we receive. We request only the minimum access needed to deliver the agreed services. For load testing, we typically need only a target URL. For observability and SRE, we may need access to monitoring tools, CI/CD, or Slack. We never require production database access or SSH root credentials.

8. Liability

• Load tests are executed only with your explicit approval and at agreed-upon parameters.
• We are not liable for performance issues in systems we did not build or operate.
• Our total liability is limited to the fees paid in the 3 months preceding the claim.
• We are not liable for indirect, incidental, or consequential damages.

9. Communication

We operate async by default. Primary communication is via Slack, Loom, and email. Video calls are scheduled only when they add value. We respond to non-urgent communications within 1 business day. P1 incident escalations receive a response within 15 minutes during business hours.

10. Termination

Either party may terminate with 30 days' written notice. Upon termination:

• All deliverables are transferred to you (if not already).
• We revoke our access to your systems within 24 hours.
• We retain copies of deliverables for 12 months for support purposes, then delete them.

11. Governing law

These terms are governed by the laws of the jurisdiction where Vantx Engineering is incorporated. Disputes will be resolved through good-faith negotiation before any legal action.

12. Changes

We may update these terms. Material changes will be communicated via email to active subscribers with 30 days' notice. Continued use after the notice period constitutes acceptance.
